A GmbH requires share capital of €25,000, at least half of which must be paid in before registration. A UG can be formed with less capital and must build reserves until GmbH capital is reached. The decision follows bank requirements, customer expectations and the intended business activity.

Articles of association, shareholder list and identity documents are coordinated with the notary, usually with certified translation. Notarisation takes place at the notary appointment; whether personal attendance or a power of attorney is required is determined by the notary. Registration with the commercial register follows the capital payment.

After notarisation, a business account is opened and the share capital paid in; the payment confirmation goes to the notary. Banks assess foreign shareholders according to their own criteria. METSE+ prepares the evidence accordingly and follows up on the account opening.

After registration, the company is registered with the tax office and the trade office. The tax number is a prerequisite for proper invoicing. The tax registration questionnaire and ongoing bookkeeping are handled by the tax advisor; METSE+ hands over documentation and status.
